Agreement to Terms

ReplicateU provides digital presence services including but not limited to website design and development, social media content creation and management, reputation management, AI video technology, and marketing automation. The specific services provided to you will be outlined in a separate service agreement or proposal.

Client Services and Payment

Service Agreements

Services provided by ReplicateU are governed by a separate written agreement between you and us. That agreement will outline the scope of work, deliverables, timelines, and fees. These Terms of Service apply in addition to any such agreement.

Payment Terms

Payment terms will be outlined in your service agreement. General payment terms include:

  • Setup fees are due prior to work commencing
  • Monthly recurring fees are billed in advance
  • All fees are non-refundable unless otherwise stated in your service agreement
  • Late payments may result in suspension of services

Cancellation

You may cancel your services by providing written notice as specified in your service agreement. ReplicateU reserves the right to terminate services for non-payment or breach of these terms with reasonable notice.

AI Video and Content Services

ReplicateU uses artificial intelligence technology to create video content, social media posts, and other digital assets on behalf of clients. By engaging our services you represent and warrant that:

  • You have the right to use any materials, likenesses, or content you provide to us
  • The content we create on your behalf will not infringe any third-party intellectual property rights
  • You will review and approve content before it is published where applicable
  • You understand that AI-generated content may require review and editing

ReplicateU is not responsible for the accuracy of AI-generated content that has been approved and published by the client.

Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. ReplicateU does not warrant that:

  • Our website will be uninterrupted, error-free, or free of viruses or harmful components
  • The results obtained from using our services will meet your specific requirements
  • Any errors in our website or services will be corrected

We make no guarantees regarding specific results from our digital marketing or social media services. Results vary based on industry, market conditions, competition, and other factors outside our control.

Limitation of Liability

To the fullest extent permitted by law, ReplicateU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. This includes but is not limited to loss of revenue, loss of data, loss of business, or loss of goodwill.

Our total liability to you for any claim arising from or related to our services shall not exceed the total amount paid by you to ReplicateU in the three months preceding the claim.

ReplicateU may use third-party platforms and tools to deliver our services including HeyGen, Google Workspace, and social media platforms. We are not responsible for the terms, policies, or performance of any third-party services. Your use of those platforms is subject to their own terms of service.

Client Responsibilities

As a client of our services you agree to:

  • Provide accurate and complete information necessary for us to deliver our services
  • Respond to requests for approvals, feedback, or content in a timely manner
  • Ensure all materials you provide do not infringe third-party rights
  • Keep your login credentials and account information secure
  • Notify us promptly of any unauthorized use of your account

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. ReplicateU will not disclose your business information, strategies, or data to third parties without your consent except as required by law or as necessary to deliver our services.

Indemnification

You agree to indemnify and hold harmless ReplicateU, its officers, employees, and agents from any claims, damages, losses, or expenses including reasonable legal fees arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Utah.

Changes to These Terms

ReplicateU reserves the right to update these Terms of Service at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the revised terms.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and ReplicateU regarding your use of our website and services. They supersede any prior agreements or understandings, whether written or oral.
